PREAMBLE

These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding contract between you (“Customer,” “Purchaser,” “You,” or “Your”) and DXB Peptides (“Company,” “We,” “Us,” or “Our”) governing your access to and use of our website (dxbpeptides.com) and the purchase of products from us.

This Agreement is drafted in accordance with and subject to the laws of the United Arab Emirates, including but not limited to:

  • Federal Law No. 5 of 1985 (UAE Civil Transactions Law / Civil Code)
  • Federal Decree-Law No. 50 of 2022 (UAE Commercial Transactions Law)
  • Federal Law No. 15 of 2020 on Consumer Protection, as amended by Federal Decree-Law No. 5 of 2023
  • Cabinet Decision No. 66 of 2023 (Executive Regulations of Consumer Protection Law)
  • Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means (E-Commerce Law)
  • Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data
  • Federal Decree-Law No. 8 of 2017 on Value Added Tax
  • Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR WEBSITE OR PLACING AN ORDER. BY ACCESSING OUR WEBSITE OR MAKING A PURCHASE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.


PART I: DEFINITIONS AND INTERPRETATION

Section 1.1: Definitions

In these Terms, unless the context requires otherwise:

“Cryptocurrency”Digital or virtual currencies including but not limited to Bitcoin (BTC), Ethereum (ETH), Tether (USDT), and other accepted tokens
“Defect”A lack in quality, quantity, or efficiency resulting from an error in design, manufacturing, or supply (as defined in Consumer Protection Law)
“Digital Trader”As defined in E-Commerce Law: a person conducting trade through modern technological means
“Force Majeure”An event beyond the reasonable control of a party, as defined in Section 15
“Flaw”Anything that befalls a product after production causing harm or preventing use (as defined in Consumer Protection Law)
“Order”A request to purchase Products submitted through our website
“Products”Research compounds, peptides, and related materials offered for sale on our website
“UAE”The United Arab Emirates
“Website”dxbpeptides.com and any subdomains
“Working Days”Business Days as defined above

Section 1.2: Interpretation

In these Terms:

a) References to statutes include all amendments, re-enactments, and regulations thereunder

b) Headings are for convenience only and do not affect interpretation

c) Words in the singular include the plural and vice versa

d) “Including” means “including without limitation”

e) References to “writing” include electronic communications

f) The English language version shall prevail in case of conflict with any translation


PART II: ELIGIBILITY AND ACCOUNT REGISTRATION

Section 2.1: Age Requirement

You must be at least twenty-one (21) years of age to use this Website and purchase Products. This age requirement is based on:

  • UAE Civil Code Article 85: Full legal capacity for commercial transactions
  • The nature of Products sold (research compounds requiring mature judgment)

By placing an order, you represent and warrant that you are 21 years of age or older.

Section 2.2: Legal Capacity

You represent and warrant that:

a) You have the legal capacity to enter into binding contracts under UAE law

b) You are not legally prohibited from purchasing, possessing, or using research compounds

c) All information you provide is accurate, current, and complete

Section 2.3: Research Use Certification

By placing an order, you certify that:

a) You are purchasing Products solely for legitimate scientific, educational, or laboratory research purposes

b) You have read and agreed to our Research Disclaimer

c) You will NOT use Products for human or animal consumption or administration

d) You possess the necessary qualifications and facilities to handle research compounds safely

Section 2.4: Account Registration

a) You may be required to create an account to place orders

b) You are responsible for maintaining the confidentiality of your account credentials

c) You must immediately notify us of any unauthorized account access

d) We reserve the right to suspend or terminate accounts that violate these Terms


PART III: PRODUCTS AND INFORMATION

Section 3.1: Product Descriptions

a) We strive to provide accurate product descriptions, specifications, and images

b) Product images are for illustrative purposes only; actual packaging may vary

c) Minor variations in product specifications may occur between batches

d) We reserve the right to modify product specifications without prior notice

Section 3.2: Research Use Only

All Products are sold exclusively for research purposes. As stated in our Research Disclaimer:

  • Products are NOT for human or animal consumption
  • Products are NOT approved by any regulatory authority for therapeutic use
  • Products are NOT food, dietary supplements, or pharmaceuticals

Section 3.3: Certificate of Analysis (COA)

a) COA documents are provided for research verification purposes

b) COAs verify compound identity and purity for laboratory use only

c) COAs do NOT certify safety for human or animal use

d) We recommend independent verification for critical research applications

Section 3.4: No Medical Claims

In accordance with UAE Consumer Protection Law prohibitions on misleading advertising:

a) We make NO claims regarding therapeutic efficacy

b) We make NO claims regarding health benefits

c) We provide NO dosing or administration guidance for human or animal use

d) Scientific information is provided for educational purposes only


PART IV: ORDERS AND CONTRACT FORMATION

Section 4.1: Order Process

The order process consists of the following steps:

  1. Product Selection: You select Products and add them to your cart
  2. Checkout: You provide delivery and payment information
  3. Review: You review your order and agree to these Terms
  4. Order Submission: You submit your order
  5. Order Confirmation: We send an automated order confirmation email
  6. Payment Verification: We verify receipt of payment
  7. Order Acceptance: We accept the order by dispatching Products
  8. Contract Formation: A binding Contract is formed upon dispatch

Section 4.2: Order Confirmation

In accordance with UAE E-Commerce Law Article 10, upon order confirmation you will receive a digital invoice containing:

  • Our business name and contact information
  • Product description and quantity
  • Price including applicable taxes
  • Payment method
  • Estimated delivery timeframe
  • Order reference number

Section 4.3: Order Acceptance and Rejection

We reserve the right to accept or reject any order at our sole discretion. We may reject orders if:

a) Products are out of stock or discontinued

b) There are errors in pricing or product information

c) We are unable to verify your information

d) We suspect fraud, unauthorized use, or suspicious activity

e) The order appears inconsistent with legitimate research purposes

f) You have previously violated these Terms

g) We are unable to ship to your location

h) Payment cannot be verified

Section 4.4: Contract Formation

A legally binding Contract is formed only upon our dispatch of your order, not upon order confirmation. Order confirmation is an acknowledgment of receipt, not acceptance.

Section 4.5: Order Cancellation by Customer

a) You may cancel an order before dispatch by contacting orders@dxbpeptides.com

b) Cancellation requests after dispatch will be treated as return requests under Part VIII

c) Cryptocurrency payments are generally non-reversible and subject to Section 5.3(a)


PART V: PRICING AND PAYMENT

Section 5.1: Prices

a) All prices are displayed in UAE Dirhams (AED) unless otherwise stated

b) Prices are inclusive of Value Added Tax (VAT) where applicable, in accordance with Federal Decree-Law No. 8 of 2017

c) Prices are subject to change without prior notice

d) The price at the time of order submission applies to your order

e) In accordance with UAE Consumer Protection Law, we will not charge more than the displayed price

Section 5.2: Pricing Errors

In accordance with UAE Consumer Protection Law Article 8:

a) We make every effort to ensure pricing accuracy

b) If a genuine pricing error occurs, we will contact you before processing the order

c) You may choose to proceed at the correct price or cancel the order

d) Obvious pricing errors (e.g., a product listed for AED 1 instead of AED 100) do not create binding obligations

Section 5.3: Payment Methods

We accept the following payment methods:

(a) Cryptocurrency Payments

  • Accepted Cryptocurrencies: Bitcoin (BTC), Ethereum (ETH), Tether (USDT), and others as displayed at checkout
  • Processing: Payments are processed through secure third-party payment gateways
  • Verification: Orders are processed upon confirmed blockchain verification (typically 1-6 confirmations depending on cryptocurrency)
  • Exchange Rate: The exchange rate at the time of payment applies
  • Non-Reversibility: Cryptocurrency payments are processed through blockchain technology and are generally non-refundable once confirmed. Refunds, if approved, will be issued in AED via bank transfer or as store credit
  • Regulatory Compliance: We comply with applicable UAE virtual asset regulations

(b) Bank Transfer

  • Bank Details: Provided upon order placement
  • Reference: Include your order number as payment reference
  • Verification: Orders are processed upon receipt and verification of payment (1-2 Business Days)
  • Currency: Transfers must be in AED unless otherwise agreed
  • Fees: You are responsible for any bank transfer fees charged by your bank

(c) Cash on Delivery (COD)

  • Availability: UAE deliveries only
  • Collection: Full payment is collected by our shipping partner upon delivery
  • Card Payment: Card payment via shipping partner’s POS terminal may be available at delivery
  • COD Fee: An additional COD handling fee may apply as displayed at checkout
  • Refusal: Refusal to pay upon delivery will result in:
    • Order cancellation
    • Potential blacklisting from future COD orders
    • Recovery of return shipping costs

Section 5.4: Payment Security

In accordance with UAE E-Commerce Law Article 14:

a) We do NOT impose unauthorized fees for digital payment methods

b) Payment data is protected by encryption and secure processing

c) We do NOT store complete payment card details

Section 5.5: Failed or Delayed Payment

a) Orders will not be dispatched until payment is verified

b) For bank transfers, orders are held for 5 Business Days pending payment

c) Unpaid orders may be cancelled without notice after the holding period


PART VI: SHIPPING AND DELIVERY

Section 6.3: Shipping Costs

a) Shipping costs are calculated at checkout based on delivery location and order weight

b) Free shipping may be offered for orders above certain thresholds (as displayed)

c) International orders may be subject to additional customs duties and taxes (your responsibility)

Section 6.4: Risk of Loss

In accordance with UAE Civil Code Article 494 regarding sales contracts:

a) Risk of loss passes to you upon delivery to the shipping carrier

b) Title to Products passes upon full payment

c) We are not liable for delays, damage, or loss caused by the shipping carrier after dispatch

Section 6.5: Delivery Obligations

You agree to:

a) Provide accurate and complete delivery information

b) Ensure someone is available to receive the delivery

c) Pay any applicable COD amounts upon delivery

d) Inspect Products upon receipt and report any damage within 24 hours

Section 6.6: Failed Delivery

Section 6.7: International Shipments

For customers located outside the UAE:

a) Customs and Import Laws: You are solely responsible for compliance with import laws, customs regulations, and controlled substance laws in your country

b) Duties and Taxes: You are responsible for all customs duties, import taxes, and fees

c) Customs Delays: We are not liable for delays caused by customs inspection

d) Seizures: Products seized, detained, or destroyed by customs authorities are NOT eligible for refund or replacement

e) No Representation of Legality: We make no representation that importing Products into your country is legal


PART VII: PRODUCT STORAGE AND HANDLING

Section 7.1: Storage Requirements

Research peptides and compounds typically require:

a) Cold storage: Many products require refrigeration (2-8°C) or freezing (-20°C)

b) Protection from light: Store in original packaging away from direct light

c) Moisture protection: Keep containers tightly sealed

d) Proper handling: Use appropriate laboratory safety protocols

Section 7.2: Shipping Conditions

a) We use appropriate packaging to maintain product integrity during transit

b) Cold chain shipping may be used for temperature-sensitive products

c) Extended delays outside our control may affect product quality

Section 7.3: Customer Responsibility

After delivery, you are solely responsible for:

a) Proper storage according to product specifications

b) Timely retrieval of products from shipping carriers

c) Any degradation resulting from improper storage or handling


PART VIII: RETURNS, REFUNDS, AND EXCHANGES

Section 8.1: Limited Return Policy

Due to the nature of our Products (research compounds requiring specific storage and handling conditions), our return policy is limited.

Section 8.2: Accepted Returns

Returns ARE accepted in the following circumstances:

Section 8.3: Returns NOT Accepted

In accordance with Cabinet Decision No. 66 of 2023 Article 3, returns are NOT accepted for:

a) Change of mind — You are responsible for reviewing product specifications before ordering

b) Products that have been opened, used, or tampered with — Due to contamination and safety concerns

c) Products stored improperly after delivery — You assume responsibility upon receipt

d) Orders placed in error — You are responsible for reviewing orders before submission

e) Products whose nature prevents return — Research compounds that cannot be verified as uncontaminated

f) International orders seized by customs — See Section 6.7

g) Products purchased at a discounted price — Where the discount accounts for known limitations (if applicable)

Section 8.4: Return Process

To request a return:

  1. Contact us within 24 hours of delivery at orders@dxbpeptides.com
  2. Provide:
    • Order number
    • Photos of damage or issue
    • Description of the problem
  3. Await approval and return instructions
  4. Return product in original, unopened packaging
  5. Ship to provided return address (we may provide a prepaid label for our errors)

Section 8.5: Refund Terms

If return is approved:

Section 8.6: Warranty (ضمان)

In accordance with UAE Consumer Protection Law Article 19 and Cabinet Decision No. 66 of 2023:

a) Warranty Period: Products are warranted against Defects for thirty (30) days from delivery date

b) Warranty Coverage: The warranty covers manufacturing defects and purity specifications as stated in the COA

c) Warranty Exclusions:

  • Damage from improper storage or handling
  • Damage from misuse or use inconsistent with research purposes
  • Normal degradation from improper conditions
  • Products modified or tampered with

d) Warranty Remedies: In case of a valid warranty claim, we will, at our discretion:

  • Provide a replacement product
  • Issue a full refund
  • Provide store credit

e) Warranty Claims: Submit warranty claims to orders@dxbpeptides.com with order number and description of the issue

Section 8.7: Consumer Protection Law Compliance

In accordance with UAE Consumer Protection Law Article 20, nothing in this return policy shall:

a) Exempt us from obligations under Consumer Protection Law

b) Waive your statutory rights as a consumer

c) Prevent you from claiming compensation for Defects or Flaws

Any term that conflicts with Consumer Protection Law shall be null and void to the extent of the conflict.


PART IX: WARRANTY DISCLAIMER

Section 9.1: “As Is” Basis

Subject to the express warranties provided in Section 8.6 and the preservation of your statutory rights under Consumer Protection Law:

Products are provided on an “AS IS” and “AS AVAILABLE” basis.

Section 9.2: Disclaimer of Implied Warranties

To the maximum extent permitted by UAE law, we disclaim all warranties not expressly stated herein, including:

a) Any implied warranty of merchantability

b) Any implied warranty of fitness for a particular purpose

c) Any warranty that Products will meet your specific research requirements

d) Any warranty regarding safety for human or animal use

Section 9.3: Preservation of Statutory Rights

Nothing in this Section shall exclude or limit any warranty, right, or remedy that cannot be lawfully excluded or limited under:

  • UAE Consumer Protection Law (Federal Law No. 15 of 2020, as amended)
  • Cabinet Decision No. 66 of 2023 (Executive Regulations)
  • UAE Civil Code (Federal Law No. 5 of 1985)

PART X: LIMITATION OF LIABILITY

Section 10.1: Acknowledgment of UAE Law

This Section is drafted with due consideration of:

  • UAE Civil Code Article 282 (liability for harm)
  • UAE Civil Code Article 292 (types of damages)
  • UAE Civil Code Article 296 (prohibition on excluding tort liability)
  • UAE Civil Code Article 390 (judicial power to modify compensation)

Section 10.2: Limitation of Contractual Liability

Subject to Section 10.4, our total liability for any claim arising under or in connection with these Terms shall not exceed:

The greater of:

a) The purchase price paid by you for the specific Product(s) giving rise to the claim; or

b) Five Hundred UAE Dirhams (AED 500)

Section 10.3: Exclusion of Certain Damages

Subject to Section 10.4, we shall not be liable for:

a) Indirect damages

b) Incidental damages

c) Consequential damages (whether foreseeable or not)

d) Special damages

e) Loss of profits, revenue, or business opportunities

f) Loss of data or research results

g) Damages arising from misuse of Products

h) Damages arising from human or animal consumption of Products

i) Damages arising from improper storage or handling

Section 10.4: Non-Excludable Liability

Nothing in these Terms shall exclude or limit our liability for:

a) Fraud (غش) or fraudulent misrepresentation

b) Gross negligence (إهمال جسيم) or willful misconduct

c) Personal injury or death caused by our proven negligence

d) Tortious liability (المسؤولية التقصيرية) that cannot be excluded under UAE Civil Code Article 296

e) Defects or Flaws to the extent required by UAE Consumer Protection Law

f) Any liability that cannot be lawfully excluded under mandatory UAE law

Section 10.5: Judicial Modification

In accordance with UAE Civil Code Article 390(2), we acknowledge that UAE courts have the authority to modify pre-agreed damages to equal actual loss suffered. This judicial authority is a matter of mandatory UAE law.

Section 10.6: Time Limitation for Claims

Any claim arising under these Terms must be brought within:

  • Ten (10) years for contractual claims (UAE Commercial Code limitation period)
  • Three (3) years for tort claims (UAE Civil Code Article 298)

PART XI: INDEMNIFICATION

Section 11.1: Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless DXB Peptides and its owners, officers, directors, employees, agents, suppliers, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

a) Your breach of these Terms or any representation or warranty herein

b) Your breach of our Research Disclaimer or Privacy Policy

c) Your violation of any applicable law, regulation, or third-party right

d) Your misuse of Products, including use inconsistent with the research-use-only designation

e) Your administration or application of Products to humans or animals

f) Third-party claims arising from your use, handling, storage, or disposal of Products

g) Your failure to obtain required permits, licenses, or approvals

h) Any product liability claim arising from your actions or omissions

Section 11.2: Indemnification Procedure

a) We will promptly notify you of any claim for which indemnification is sought

b) You will assume defense of the claim at your expense

c) We may participate in the defense at our own expense

d) You will not settle any claim without our prior written consent if the settlement would impose obligations on us


PART XII: INTELLECTUAL PROPERTY

Section 12.1: Ownership

a) All content on the Website, including text, graphics, logos, images, and software, is our property or that of our licensors

b) The Website and its content are protected by UAE and international copyright, trademark, and other intellectual property laws

Section 12.2: Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes in accordance with these Terms.

Section 12.3: Restrictions

You may NOT:

a) Copy, reproduce, or distribute Website content without permission

b) Use our trademarks without written authorization

c) Modify, adapt, or create derivative works from the Website

d) Reverse engineer any Website functionality

e) Use automated tools to access or scrape the Website

f) Remove any copyright, trademark, or proprietary notices


PART XIII: PROHIBITED CONDUCT

Section 13.1: General Prohibitions

You agree NOT to:

a) Provide false, misleading, or inaccurate information

b) Use the Website for any unlawful purpose

c) Attempt to circumvent security measures

d) Interfere with the Website’s operation

e) Use Products for human or animal consumption

f) Resell Products for human or animal use

g) Violate any applicable UAE law or regulation

h) Infringe intellectual property rights

i) Transmit viruses, malware, or harmful code

j) Engage in fraudulent activity

Section 13.2: Consequences of Violation

We reserve the right to:

a) Refuse service to any person for any reason

b) Terminate your account and access to the Website

c) Cancel pending orders

d) Pursue legal remedies for violations

e) Report suspected illegal activity to authorities


PART XIV: UNFAIR CONTRACT TERMS

Section 14.1: Compliance with Consumer Protection Law

In accordance with UAE Consumer Protection Law Article 20 and Cabinet Decision No. 66 of 2023:

a) Any term in these Terms that would exempt us from obligations under Consumer Protection Law is null and void

b) Any term that would harm the consumer in a manner prohibited by law is null and void

c) We do NOT include terms that grant us unilateral rights to amend or terminate the contract without granting you equivalent rights

d) We do NOT include terms that cancel or limit your right to claim compensation for our breach

e) We do NOT include terms that waive your statutory consumer rights

Section 14.2: Severability of Void Terms

If any term is found to be null and void under UAE law, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.


PART XV: FORCE MAJEURE

Section 15.1: Definition

“Force Majeure” means any event beyond our reasonable control, including but not limited to:

a) Natural disasters (earthquakes, floods, storms, epidemics, pandemics)

b) War, terrorism, civil unrest, or armed conflict

c) Government actions, laws, regulations, or embargoes

d) Strikes, labor disputes, or lockouts (not involving our employees)

e) Supply chain disruptions beyond our control

f) Shipping carrier failures or delays

g) Utility failures (power, telecommunications)

h) Cyberattacks or security breaches beyond our reasonable prevention

Section 15.2: Effect of Force Majeure

If we are prevented from performing our obligations due to Force Majeure:

a) Our obligations are suspended for the duration of the Force Majeure event

b) We will notify you as soon as reasonably practicable

c) We will use reasonable efforts to mitigate the effects and resume performance

d) If the Force Majeure continues for more than thirty (30) days, either party may terminate the affected order

Section 15.3: No Liability

We are not liable for any failure or delay in performance caused by Force Majeure.


PART XVI: DISPUTE RESOLUTION

Section 16.1: Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflicts of law principles.

Section 16.2: Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt informal resolution of any dispute. We will have thirty (30) days to respond and attempt resolution.

Section 16.3: Jurisdiction

Subject to Section 16.5, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

Section 16.4: Consumer Complaints

In accordance with UAE Consumer Protection Law, you may file complaints with:

Section 16.5: Arbitration Limitation

In accordance with UAE E-Commerce Law Article 17, we acknowledge that:

a) We cannot mandate arbitration for disputes involving transactions below AED 183,625 (approximately USD 50,000) without your explicit consent

b) You have the right to pursue disputes through UAE courts regardless of any arbitration clause

Section 16.6: UAE Dispute Resolution Committees

In accordance with UAE E-Commerce Law, disputes may be referred to dispute resolution committees established by the Ministry of Economy or relevant emirate authority.


PART XVII: MODIFICATIONS TO TERMS

Section 17.1: Right to Modify

We reserve the right to modify these Terms at any time. Modifications will be effective upon posting to the Website with an updated “Last Updated” date.

Section 17.2: Notification of Material Changes
